How to start a social media marketing agency
What it costs, what you file, what it earns and what ends most of them. Every number below is cited to where it came from.
No government or peer-reviewed source publishes a startup cost range for a social media marketing agency, so no figure is quoted here. The hardest part is client retention and proving attribution.
What it costs to start
No primary source publishes thisNo primary US source publishes an agency-specific startup cost range; the Census Annual Business Survey anchor (24.1% of new US employer businesses started with under $5,000, 50.9% under $25,000) applies, and for an agency the dominant costs are people and software subscriptions rather than capital equipment, note that client ad spend is normally passed through or billed to the client and should not be counted as a start-up cost.
What you have to file
Licensing is set by state, county and city, so this is what the category tends to require rather than a list for where you live. The state pages below carry the filing detail for each of the 50.
- Business entity registration with the state Secretary of State, or a DBA / assumed-name filing
- IRS Employer Identification Number (EIN)
- State and/or city general business licence or tax registration, there is no occupational licence required to operate a marketing or social media agency in the US
- FTC Guides Concerning Use of Endorsements and Testimonials in Advertising (16 CFR Part 255, revised 2023), the single most important rule for this business. Endorsers must clearly disclose material connections to the brand, and advertisers AND their agencies are expected to have processes in place to train and monitor influencers rather than treating disclosure as the influencer's problem alone
- FTC Rule on the Use of Consumer Reviews and Testimonials (16 CFR Part 465, announced August 2024, effective 60 days after Federal Register publication), bans fake or AI-generated reviews and testimonials, compensation conditioned on the sentiment of a review, undisclosed insider reviews by employees or managers, company-controlled sites posing as independent review sites, review suppression by threat or false accusation, and buying or selling fake followers, views or other social media indicators. The rule lets the FTC seek civil penalties against knowing violators
- FTC Act Section 5, every claim you place on a client's behalf must be truthful and substantiated, and the agency can be liable alongside the advertiser
- CAN-SPAM Act for email campaigns, accurate 'From'/'Reply-To' and routing data, non-deceptive subject lines, clear ad identification, a valid physical postal address, a clear opt-out honoured within 10 business days, opt-out records kept at least 30 days, and an explicit duty to monitor third parties you hire to send. Maximum civil penalty is $53,088 per violating email
- Telephone Consumer Protection Act (TCPA) and FCC rules for SMS and voice campaigns, prior express written consent is required for marketing texts
- COPPA compliance if any client content or targeting is directed at children under 13
- State consumer-privacy laws (for example the California Consumer Privacy Act as amended) governing lead lists, pixels and audience data
- Platform advertising policies (Meta, Google, TikTok, LinkedIn), contractual rather than legal, but account-level enforcement is the practical risk
- Insurance: professional liability / errors & omissions, media and advertising liability (covering defamation, IP infringement and false advertising claims arising from published work), general liability, cyber liability for holding client account credentials and customer data, plus workers' compensation and unemployment insurance if you hire employees
- Written client contracts covering ad-spend pass-through, account and pixel ownership, content licensing, and indemnity for claims substantiation, because the FTC can pursue the agency as well as the advertiser
What the margins look like
IRS Statistics of Income data for Tax Year 2022 nonfarm sole proprietorships show 'Advertising and related services' with $3,284,210 thousand of net income on $12,251,223 thousand of business receipts, a 26.8% net margin. That is above the 19.7% all-sole-proprietor average but roughly half the 49.1% margin of management consulting, reflecting the labour and subcontracting intensity of delivery work. As with all sole-proprietor figures this includes the owner's own compensation and is not comparable to a corporate net margin.
Whether demand is growing
Growing
Growing modestly: BLS projects employment of advertising, promotions and marketing managers to grow 6% from 2025 to 2035 (454,800 employed in 2025, about 36,300 openings a year) and market research analysts and marketing specialists to grow 7% over the same decade (952,700 employed in 2025, about 82,000 openings a year).
How big the market is
The maximum civil penalty under CAN-SPAM is $53,088 per individual non-compliant email, an agency that sends a single bad campaign for a client is exposed per message, not per campaign.
The part that ends most of them
Client retention and proving attribution. The measurable general finding is that the Federal Reserve's 2026 Report on Employer Firms identified 'reaching customers and growing sales' as the most common operational challenge among small employer firms; agency-specific difficulty is that results are attributed to the agency month by month, so churn is high and revenue is rarely contracted long. The compliance exposure is the second commonly cited difficulty, under the FTC Endorsement Guides and the 2024 consumer reviews rule the agency, not just the client, is expected to police influencer disclosure.
Before you start
- What it will cost you, since the numbers above are the category and not your version of it
- Sole proprietor, LLC or S corp, what actually differs, with no recommendation
- What your state wants filed, read from the state's own pages
- What you have to sell to break even, which decides whether the margin above matters
- Which way you actually work, if the choice between these is really a choice about you
