Delaware requires one. Every Delaware entity must appoint and continuously maintain a registered agent with a physical Delaware street address.

What you owe after year one

The flat annual tax is payable on or before June 1 each year; late payment triggers a $200 penalty plus 1.5% monthly interest. Note: the Division's LLC/LP/GP tax instructions page states $400 following House Bill 400 (signed May 21, 2026), while the older summary page at corp.delaware.gov/frtax/ still shows the previous $300 figure, so confirm the amount at payment time.
