Starting an LLC in New York
What it costs, what you file and what you owe afterwards. Every figure below came from the state's own pages.
Forming an LLC in New York costs $200 to file the Articles of Organization with the New York Department of State, Division of Corporations, State Records and Uniform Commercial Code. After that, Biennial Statement is due every two years, in the calendar month in which the original Articles of Organization were filed. Note this is separate from the one-time newspaper publication requirement, which must be completed within 120 days of formation and closed out with a $50 Certificate of Publication filing.
What it costs
| What | Amount | When |
|---|---|---|
| Articles of Organization | $200 | Once, when the LLC is formed |
| Biennial Statement | $9 | Every two years, in the calendar month in which the original Articles of Organization were filed. Note this is separate from the one-time newspaper publication requirement, which must be completed within 120 days of formation and closed out with a $50 Certificate of Publication filing. |
Registered agent
New York does not require a separate registered agent; the Secretary of State is the statutory agent for service of process and forwards process to the address the LLC keeps on file, though an LLC may optionally designate its own agent as well. Budget separately for the publication rule: within 120 days of formation the LLC must run notice in two county-designated newspapers and then file a Certificate of Publication with affidavits for a $50 state fee, and missing that window suspends its authority to do business until it is filed.
